1. Definitions
- "Service Provider" refers to Tangerine Flux (Rafael Anjos).
- "Client" refers to any business or individual who has entered into an agreement with Tangerine Flux.
- "Website" refers to https://www.tangerineflux.com.
2. Services Provided
Tangerine Flux offers services including but not limited to:
- Web design & development
- Local SEO & Google Ads management
- AI automation for digital marketing
- Content creation & optimization
All services provided are subject to agreements between the Client and Tangerine Flux.
3. Payment Terms
- Payments are due on the agreed-upon dates as per the contract.
-All payments must be made via GoCardless direct debit. (No other payment methods are accepted.)
-Payments are due every Friday, as per the contract.
- If a payment fails, the Client must manually transfer the amount within 48 hours.
- Late payments are subject to penalties as follows:
- 3 days late = £25 late fee
- 8 days late = £100 late fee
- 16 days late = £175 late fee + Immediate Work Suspension
- 30 days late = £200 late fee + Ads/Website Takedown
- 61 days late = Full Contract Balance Due + £550 Penalty + Legal Enforcement
- Non-payment: If payment is not received within 30 days, Tangerine Flux reserves the right to take legal action
4. Ownership of Work
- Tangerine Flux retains full ownership of all work (websites, SEO, ads, content) until full payment is made.
- If payment is overdue, Tangerine Flux reserves the right to take down the website, suspend Google Ads,
5. Contract Cancellation Policy- The Client cannot cancel the contract before its agreed end date.
- If the Client terminates the contract early, the full remaining contract balance becomes immediately due.
6. Refund Policy
- All payments are non-refundable, even if the Client chooses to stop services before the contract end date
7. Service Suspension & Termination
Tangerine Flux reserves the right to pause or terminate services if:
- The Client fails to make payments on time.
- The Client violates any terms of this agreement.
8. Limitation of Liability
Tangerine Flux is not liable for:
- Any loss of revenue, business interruptions, or damages resulting from services provided.
- Any third-party failures (e.g., website hosting issues, ad platform bans, or search engine algorithm change
9. Confidentiality
- Both parties agree to keep sensitive business information confidential.
10. Governing Law & Dispute Resolution
- These Terms & Conditions are governed by the laws of England & Wales.
- Any disputes will first be resolved through mediation. If unresolved, disputes will be handled through arbit
11. Amendment Clause
- Any changes to this contract must be in writing and signed by both parties.
12. Service Provider Obligations
- Tangerine Flux is committed to performing all services to the highest professional standard.
